By accessing or using our websites, platform, products, or services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use our websites, products, platform, or services.
For purposes of these Terms, “we,” “us,” and “our” refer to JH Media, WatsonCRM, PetBizSuite, FitBizSuite, and any affiliated brands operated by JH Media. “You,” “your,” “user,” “client,” or “customer” refers to any individual, business, or organization accessing or using our websites, platform, products, or services.
Use of Our Services
WatsonCRM is a CRM, marketing automation, workflow, funnel, calendar, communication, and implementation platform designed to help businesses manage leads, customers, follow-up, campaigns, automations, and related business systems.
Our services may include, but are not limited to:
CRM access
Funnels and websites
Forms and surveys
Email and SMS automation
Calendar and appointment systems
Workflow automation
AI-powered tools
Marketing playbooks
ACED Growth OS implementation
Training materials
Office hours
Support services
Campaign and automation builds
Paid playbook installations
You agree to use our websites, platform, and services only for lawful purposes and in accordance with these Terms.
You may not use our services to send spam, violate privacy laws, infringe intellectual property rights, mislead consumers, engage in fraud, upload malicious code, harass others, or conduct any unlawful or abusive activity.
Account Access and Responsibility
If you are given access to WatsonCRM or any related platform account, you are responsible for maintaining the confidentiality of your login credentials and controlling access to your account.
You are responsible for all activity that occurs under your account, including activity by your employees, contractors, team members, or other users you invite.
You agree to notify us promptly if you believe your account has been accessed without authorization.
We are not responsible for losses caused by your failure to protect login credentials, manage user permissions, or supervise account activity.
Client Data
You may upload, import, collect, store, or process information about your leads, customers, prospects, employees, applicants, or other business contacts through WatsonCRM. This information is referred to as “Client Data.”
You retain ownership of your Client Data.
You are responsible for ensuring that you have the proper rights, permissions, and consent to collect, upload, store, message, email, call, or otherwise process your Client Data.
You are responsible for complying with all laws and regulations that apply to your business and communications, including email marketing, SMS, telemarketing, privacy, data protection, advertising, and consumer protection laws.
You are also responsible for honoring unsubscribe requests, opt-out requests, data deletion requests, and any other rights your contacts may have under applicable law.
JH Media is not responsible for your failure to obtain consent, your misuse of Client Data, or your failure to comply with laws applicable to your business.
SMS Usage and Consent
Users may opt in to receive SMS notifications, reminders, support messages, service updates, and marketing communications by explicitly providing their phone number and consenting through a form, calendar, checkout page, website, funnel, or other opt-in method.
WatsonCRM and JH Media may send SMS communications to users who have opted in. These messages may include appointment reminders, service updates, account notifications, support-related messages, promotional messages, and other communications related to our products or services.
Message frequency may vary. Message and data rates may apply. Check with your mobile carrier for details.
You may reply STOP to unsubscribe from SMS messages where applicable. You may reply HELP for assistance where applicable.
You must be 18 years of age or older to use SMS services.
Carriers are not liable for delayed or undelivered messages.
No mobile information will be shared with third parties or affiliates for their own marketing or promotional purposes. Information sharing with subcontractors or service providers in support of services, such as customer service, messaging delivery, technical support, or platform operation, is permitted.
If you use WatsonCRM to send SMS messages to your own contacts, you are solely responsible for obtaining proper opt-in consent and complying with all applicable SMS, telemarketing, and communication laws.
Email and Marketing Communications
By submitting your information through our websites, forms, calendars, funnels, checkout pages, or other opt-in methods, you agree that we may contact you by email, SMS, phone, direct message, mail, or other communication channels.
We may send transactional, service-related, support, billing, educational, and promotional communications.
You may unsubscribe from marketing emails using the unsubscribe link provided in those emails. Transactional, billing, service, legal, or account-related messages may still be sent where permitted by law.
Payments, Subscriptions, and Billing
Certain products and services require payment. By purchasing from us, you agree to pay all fees associated with the product, service, subscription, playbook, implementation, or program you selected.
Payments may be processed through third-party payment providers. You agree to provide accurate billing information and authorize us or our payment processor to charge your selected payment method.
Subscription services may automatically renew unless canceled according to the applicable cancellation terms.
Failure to pay may result in suspension or termination of access to WatsonCRM, services, support, implementation work, office hours, or related deliverables.
All fees are due as stated at the time of purchase or in the applicable proposal, order form, invoice, checkout page, or agreement.
Refunds and Cancellations
Refunds, cancellations, freezes, pauses, and account terminations are handled according to the terms stated at the time of purchase, in your agreement, or in our written cancellation policy.
Implementation fees, playbook installation fees, setup fees, custom build fees, strategy fees, and completed service work are generally non-refundable once work has started, unless otherwise stated in writing.
Subscription fees are generally non-refundable once billed, unless otherwise stated in writing.
Canceling your account may result in loss of access to WatsonCRM, automations, workflows, funnels, templates, data views, support, training, office hours, and related services.
You are responsible for exporting your Client Data before cancellation or account closure.
Data Export and Account Cancellation
Clients may request access to export available contact data, customer data, and related business records, subject to account standing, technical availability, platform limitations, and applicable agreements.
Client Data belongs to the client.
However, the systems, workflows, automations, funnels, templates, sequences, campaign logic, Playbooks, ACED Growth OS materials, and implementation structures created, installed, or provided by JH Media are proprietary intellectual property and are not transferred, exported, copied, or assigned to the client unless expressly agreed in writing.
WatsonCRM accounts, snapshots, workflows, automations, funnels, templates, forms, campaigns, and proprietary system architecture may not be transferred to another CRM, GoHighLevel account, white-label provider, agency, consultant, competitor, or third-party platform.
If you cancel or leave WatsonCRM, you may export your Client Data where available, but you may not export or retain our proprietary implementation assets.
Intellectual Property
The websites, platform configuration, ACED Growth OS, ACED Playbooks, templates, workflows, automations, funnels, forms, surveys, email sequences, SMS sequences, strategy documents, training materials, videos, scripts, frameworks, campaign logic, dashboards, documentation, designs, and other materials created or provided by JH Media are owned by JH Media or its licensors.
These materials are protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable right to access and use applicable materials within your active WatsonCRM account or customer relationship.
You may not copy, reproduce, sell, resell, sublicense, distribute, publish, export, transfer, reverse engineer, duplicate, share, or provide access to our proprietary systems, templates, playbooks, workflows, automations, funnels, or training materials without written permission from JH Media.
This restriction applies during and after your relationship with JH Media.
ACED Growth OS and Playbooks
The ACED Growth OS, ACED framework, Playbook Library, playbook structures, implementation methodology, system architecture, workflows, templates, automations, and related materials are proprietary to JH Media.
Purchasing a playbook installation, implementation package, subscription, or service gives you access to use the applicable system inside your active WatsonCRM account. It does not transfer ownership of the underlying playbook, framework, template, workflow, automation, funnel, sequence, or implementation logic.
You may not recreate, redistribute, resell, teach, transfer, publish, or give others access to ACED Playbooks or related proprietary materials without our written permission.
Third-Party Platforms and Tools
WatsonCRM may be powered by, integrated with, or dependent on third-party platforms, software, infrastructure, and service providers.
These may include CRM platforms, website and funnel builders, email providers, SMS providers, AI tools, payment processors, calendar tools, analytics providers, advertising platforms, hosting providers, and other software providers.
We are not responsible for the actions, errors, outages, pricing changes, policy changes, limitations, security incidents, data practices, or service interruptions of third-party platforms.
Your use of third-party platforms may be subject to their own terms, policies, privacy policies, usage rules, and fees.
We may modify, replace, remove, or discontinue integrations or third-party tools at any time if necessary for business, compliance, technical, or operational reasons.
AI Tools and Automated Systems
Some services may use AI tools, chatbots, voice agents, automated workflows, AI-generated content, or other automated systems.
AI-generated or automated outputs may not always be accurate, complete, compliant, or appropriate for your business or circumstances.
You are responsible for reviewing, approving, monitoring, and using any AI-generated content, automated responses, workflows, scripts, messages, or recommendations.
We do not guarantee that AI tools, automations, or third-party systems will produce specific leads, appointments, sales, revenue, profits, rankings, or outcomes.
No Guarantee of Results
We may provide CRM systems, marketing automation, playbooks, consulting, funnels, workflows, campaigns, AI tools, training, and implementation services designed to help improve marketing, sales, operations, retention, reviews, referrals, hiring, and business visibility.
However, we do not guarantee specific results.
We do not guarantee revenue, profits, lead volume, appointment volume, close rates, return on ad spend, sales, ranking improvements, customer retention, reviews, referrals, employee retention, or any other business outcome.
Your results depend on many factors outside our control, including your offer, market, pricing, reputation, team, follow-up, sales process, advertising budget, customer experience, competition, and implementation.
Client Responsibilities
You agree to provide accurate information, timely access, required assets, approvals, content, credentials, and cooperation needed for us to provide services.
You are responsible for reviewing and approving content, offers, automations, workflows, forms, funnels, pages, messages, campaigns, and other materials before using them publicly.
You are responsible for ensuring that your business practices, offers, pricing, claims, communications, advertising, and data usage comply with applicable laws and industry rules.
Delays in providing required access, assets, approvals, or information may delay implementation timelines. We are not responsible for missed deadlines or delayed results caused by client delays.
Prohibited Uses
You may not use our websites, platform, products, or services to:
Violate any law or regulation
Send spam or unauthorized communications
Misrepresent your identity, offer, or business
Upload malware, viruses, or harmful code
Infringe intellectual property rights
Harass, abuse, defame, or harm others
Collect data without proper consent
Engage in fraudulent, deceptive, or misleading conduct
Interfere with platform security or functionality
Attempt to reverse engineer or copy our proprietary systems
Share access with unauthorized parties
Resell or redistribute our services without written permission
We reserve the right to suspend or terminate access for violations of these Terms.
Links to Other Websites
Our websites, platform, emails, funnels, content, or services may contain links to third-party websites or services that are not owned or controlled by JH Media.
We have no control over and assume no responsibility for third-party websites, services, content, privacy policies, terms, practices, goods, or services.
You acknowledge and agree that JH Media is not responsible or liable for any damage or loss caused by or related to your use of or reliance on third-party websites or services.
We strongly recommend reviewing the terms and privacy policies of any third-party websites or services you visit.
Support and Office Hours
Support availability, response times, office hours, implementation help, and related services may vary by product, subscription, or service tier.
Office hours and support are intended for specific questions, troubleshooting, and guidance. They are not unlimited custom implementation sessions, strategy sessions, copywriting sessions, workflow builds, funnel builds, or campaign builds unless expressly included in your purchase.
Requests outside the scope of your plan, subscription, or service may require a separate paid playbook installation, implementation fee, project fee, or upgrade.
Termination
We may suspend or terminate your access to our websites, platform, products, support, or services immediately, without prior notice or liability, for any reason, including but not limited to:
Breach of these Terms
Non-payment
Misuse of the platform
Violation of law
Unauthorized sharing or copying of proprietary materials
Abuse of staff, contractors, systems, or other users
Fraudulent, misleading, or harmful activity
Security concerns
Conduct that may harm JH Media, WatsonCRM, our clients, our vendors, or third parties
Upon termination, your right to use our services will immediately stop.
Any provisions that by their nature should survive termination will survive, including ownership provisions, intellectual property restrictions, payment obligations, warranty disclaimers, indemnity, limitations of liability, confidentiality obligations, and dispute provisions.
Disclaimer
Your use of our websites, platform, products, and services is at your sole risk.
The services are provided on an “AS IS” and “AS AVAILABLE” basis.
We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, or course of performance.
We do not warrant that our websites, platform, automations, third-party tools, integrations, communications, or services will be uninterrupted, error-free, secure, compliant for your specific use case, or free from defects.
Limitation of Liability
To the fullest extent permitted by law, JH Media, WatsonCRM, PetBizSuite, FitBizSuite, their owners, employees, contractors, vendors, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.
This includes, without limitation, damages for lost profits, lost revenue, lost data, lost business opportunity, business interruption, loss of goodwill, advertising losses, failed campaigns, missed leads, missed appointments, system errors, platform outages, third-party failures, or unauthorized access.
To the fullest extent permitted by law, our total liability for any claim related to the services shall not exceed the amount you paid to JH Media for the specific product or service giving rise to the claim during the three months before the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless JH Media, WatsonCRM, PetBizSuite, FitBizSuite, their owners, employees, contractors, affiliates, vendors, and licensors from and against any claims, damages, losses, liabilities, costs, or expenses, including reasonable attorney fees, arising out of or related to:
Your use of our websites, platform, products, or services
Your Client Data
Your communications with leads, customers, employees, or contacts
Your marketing, advertising, offers, products, or services
Your violation of these Terms
Your violation of any law or regulation
Your infringement of any intellectual property or privacy rights
Your failure to obtain proper consent
Your misuse of SMS, email, AI, automations, workflows, or third-party tools
Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States and the state in which JH Media is legally organized or primarily operates, without regard to conflict of law principles.
Governing State: Texas
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
These Terms, together with any applicable order form, proposal, invoice, checkout terms, privacy policy, service agreement, or written agreement, constitute the entire agreement between us regarding the services and supersede any prior agreements or understandings.
Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
If a change is material, we may attempt to provide notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion.
